Job description from the source
Legal Ethics \& Law Firm Compliance CounselPosition Overview We are seeking an experienced **Legal Ethics \& Law Firm Compliance Counsel** to advise our organization on attorney ethics, professional responsibility, law firm operations, legal marketing, client acquisition, and regulatory compliance. We are building and scaling a high\-volume client acquisition and lead\-generation operation supporting law firms, with a particular focus on property damage and insurance\-related legal matters. We are looking for an attorney who can provide practical, well\-researched guidance on how our marketing, intake, referral, compensation, and law firm operational structures should be designed to comply with applicable professional\-conduct rules. This is not primarily a litigation position. We are looking for an attorney who can serve as an ongoing **ethics and compliance advisor to ownership and management** as the business develops new marketing channels, referral relationships, operational processes, and partnerships. Key Responsibilities The attorney will review and provide written and verbal guidance regarding: * ABA Model Rules of Professional Conduct and applicable state\-specific professional\-conduct rules. * Attorney advertising and solicitation requirements. * Digital advertising, Google Ads, social media, websites, landing pages, call centers, and other client\-acquisition channels. * Lead\-generation arrangements involving attorneys and law firms. * Relationships between law firms and third\-party marketing or lead\-generation companies. * Referral arrangements and referral\-fee compliance. * Restrictions involving fee sharing with non\-lawyers. * Pay\-per\-lead, pay\-per\-call, pay\-per\-conversion, flat\-fee, and other marketing compensation models. * Attorney and non\-attorney intake processes. * Call scripts, disclaimers, disclosures, marketing language, and intake procedures. * Use of AI, automation, call centers, and technology during client intake and lead qualification. * Attorney\-client engagement agreements and required disclosures. * Co\-counsel and joint\-representation structures. * Division of legal fees between attorneys and law firms. * Conflicts of interest and informed\-consent requirements. * Relationships with public adjusters, contractors, engineers, consultants, and other professionals who may interact with law firm clients. * Ownership, management, compensation, and operational structures involving attorneys and non\-attorneys. * Multi\-state practice considerations, including unauthorized\-practice\-of\-law concerns. * State\-specific requirements affecting law firm marketing and client acquisition. * Compliance policies, SOPs, training materials, and internal controls. Law Firm Operations Advisory In addition to marketing and lead\-generation compliance, we want this attorney to serve as a resource for **other ethics and professional\-responsibility questions arising from law firm operations**. Examples may include: * Attorney compensation structures. * Employee and independent\-contractor arrangements. * Co\-counsel relationships. * Referral relationships. * Client trust and operating\-account considerations. * Engagement and disengagement procedures. * Client communications. * Conflicts and conflict\-checking procedures. * Supervision of non\-lawyer personnel. * Outsourced administrative and intake functions. * Attorney supervision of AI and technology. * Multi\-jurisdictional practice. * Law firm ownership and management structures. * Alternative Business Structure (ABS) considerations where applicable. * Relationships between affiliated law firms and non\-law\-firm businesses. * Professional independence of attorneys. * Confidentiality and handling of client information. * Other professional\-responsibility issues that arise as the firm grows. We expect the attorney to be comfortable researching state\-specific rules and, where appropriate, preparing **written ethics opinions or compliance memoranda** explaining the applicable rules, risks, and recommended structure. Initial Projects One of the attorney's first assignments will be a comprehensive review of our proposed **law firm lead\-generation and client\-acquisition model**. The review will include the complete flow from: **Advertising → Lead Generation → Initial Contact → Lead Qualification → Intake → Attorney Review → Engagement → Referral/Co\-Counsel → Ongoing Representation** We want counsel to identify potential compliance issues and recommend operational changes before processes are implemented at scale. The attorney may also be asked to review specific proposed business relationships and provide an opinion regarding whether the arrangement is permissible and, if so, how it should be structured. Qualifications * Active U.S. attorney license in good standing. * Significant experience with legal ethics, professional responsibility, law firm compliance, or law firm general counsel matters. * Strong knowledge of the ABA Model Rules of Professional Conduct. * Experience researching state\-specific Rules of Professional Conduct. * Experience advising law firms regarding attorney advertising and solicitation. * Understanding of attorney referral and fee\-sharing rules. * Familiarity with modern digital marketing and online lead generation. * Ability to provide practical business\-oriented recommendations rather than simply identifying legal issues. * Strong legal research and written opinion/memorandum skills. Preferred Background Preference will be given to candidates who have previously: * Served as ethics counsel or outside general counsel to law firms. * Advised law firms on advertising and lead\-generation programs. * Represented attorneys in disciplinary or professional\-responsibility matters. * Worked for a state bar, disciplinary authority, ethics committee, or professional\-responsibility practice. * Advised multi\-state law firms. * Reviewed attorney/non\-attorney business relationships. * Advised firms regarding alternative business structures. * Designed law firm compliance programs, policies, or SOPs. Engagement Structure We are open to either an **ongoing outside\-counsel/contract relationship or a more permanent role**, depending on the candidate. This will not be a one\-time legal opinion. We are looking to establish an ongoing relationship with an attorney who can become a trusted ethics and compliance resource as our law firm operations, marketing programs, referral relationships, and geographic footprint expand. Pay: $81,678\.28 \- $98,365\.24 per year Work Location: Remote
