**Corporate Associate (2–3 years)** **Atlanta, Georgia** **$175,000 – $205,000 \+ bonus** **The Opportunity** A leading national law firm is seeking a Corporate Associate to join its established corporate and transactional practice in Atlanta. This is an excellent opportunity for a junior\-to\-mid\-level corporate attorney looking to develop broader transactional experience while working on sophisticated domestic and cross\-border matters. The successful attorney will work closely with experienced corporate lawyers on buy\-side and sell\-side M\&A transactions, corporate governance matters and general business transactions, while assuming increasing responsibility for drafting, due diligence and transaction management. **The Role** The attorney will advise clients across matters including: * Buy\-side and sell\-side mergers and acquisitions. * Domestic and cross\-border transactions. * General corporate and commercial matters. * Corporate governance. * Drafting and negotiating transaction documents. * Purchase and sale agreements. * Ancillary transaction documentation. * Legal due diligence. * Entity formation and restructuring. * Shareholder and operating agreements. * Preparing corporate resolutions and governance documentation. * Coordinating transaction signing and closing processes. * Working directly with clients, opposing counsel and other professional advisers. * Supporting companies on ongoing corporate matters. **The Candidate** Candidates should have: * **2–3 years of post\-JD corporate transactional experience.** * Meaningful exposure to mergers and acquisitions. * Experience drafting sophisticated transactional agreements. * General corporate experience. * Exposure to cross\-border transactions would be particularly valuable. * Excellent legal drafting and analytical ability. * Strong academic credentials. * Excellent organisational skills and attention to detail. * Sound commercial judgment. * Ability to manage multiple transactions and deadlines. * A JD from an accredited US law school. * **Active Georgia Bar admission is required.** German language skills would be advantageous given the team's growing cross\-border practice, but are **not required** . **Why Consider This Opportunity?** * $175,000 – $205,000 base salary depending on experience. * Performance\-based bonus opportunity. * Attractive **2–3 year experience bracket** . * Broad M\&A and corporate transactional workload. * Exposure to both domestic and cross\-border matters. * Buy\-side and sell\-side M\&A experience. * Greater transaction responsibility at an early stage. * Direct client exposure. * Nationally recognised corporate practice. * Strong Atlanta platform without an ultra\-BigLaw environment. * Excellent opportunity to develop into a well\-rounded corporate attorne
